Agreement to Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you and Renacy (“Renacy,” “we,” “us,” or “our”). They govern your access to and use of the Renacy website located at renacy.com (the “Site”) and, together with any applicable service agreement or statement of work, the managed IT services we provide (collectively, the “Services”).
If you are accessing the Site or Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Site or Services.
Our Privacy Policy is incorporated into these Terms by reference and applies to all use of the Site and Services.
Our Services
Renacy provides managed IT services to businesses, including but not limited to:
- 24/7 device monitoring and alerting.
- Remote and on-site helpdesk support.
- Cloud backup and disaster recovery management.
- Network management and security monitoring.
- Technology advisory and strategic planning.
- Software and hardware procurement assistance.
The specific scope, deliverables, service levels, and pricing for your engagement are set forth in a separate written service agreement or statement of work executed between Renacy and your organization. In the event of any conflict between these Terms and a service agreement, the service agreement governs with respect to the services it covers.
Renacy reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to affected clients.
Accounts & Access
Access to certain features of the Site or our client-facing tools may require account credentials. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Promptly notifying Renacy if you suspect unauthorized access to your account at support@renacy.com.
You agree not to share account credentials with unauthorized third parties or use another person's credentials without authorization. Renacy is not liable for losses arising from unauthorized account access caused by your failure to safeguard credentials.
Acceptable Use
You agree to use the Site and Services only for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not:
- Use the Site or Services to transmit, distribute, or store material that is unlawful, defamatory, harassing, abusive, fraudulent, or obscene.
- Attempt to gain unauthorized access to any systems, networks, or data — whether belonging to Renacy, other clients, or third parties.
- Introduce viruses, malware, ransomware, or other malicious code into any system or network.
- Use automated tools, bots, or scrapers to access or collect data from the Site without prior written consent.
- Interfere with or disrupt the integrity or performance of the Site, Services, or the systems of other users.
- Use the Services to provide IT support or managed services to third parties without Renacy's prior written consent (i.e., resale of Services is not permitted).
- Violate any applicable export control, sanctions, or data protection laws.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Renacy reserves the right to investigate suspected violations and to suspend or terminate access to the Services if we determine, in our reasonable judgment, that a violation has occurred.
Intellectual Property
Renacy's Property
The Site and its entire contents — including text, graphics, logos, images, software, and the overall look and feel — are owned by or licensed to Renacy and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without our prior written permission.
The Renacy name, logo, and any Renacy product or service names are trademarks of Renacy. Nothing in these Terms grants you any right to use our trademarks without prior written consent.
Your Property
You retain ownership of all data, content, and intellectual property you provide to Renacy in connection with the Services. By providing such materials, you grant Renacy a limited, non-exclusive license to use, process, and store that information solely to the extent necessary to deliver the Services.
Feedback
If you provide Renacy with feedback, suggestions, or ideas regarding the Site or Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
Fees & Payment
Fees for Services are as set forth in your service agreement. Unless otherwise stated:
- Invoices are issued monthly in advance and are due within 30 days of the invoice date.
- Late payments may be subject to a monthly interest charge of 1.5% (or the maximum rate permitted by law, if lower).
- All fees are stated in U.S. dollars and are exclusive of applicable taxes. You are responsible for all taxes associated with your purchase, excluding taxes on Renacy's net income.
- Renacy reserves the right to adjust pricing with at least 30 days' written notice prior to the start of the next billing period.
- Fees paid for completed billing periods are non-refundable except as expressly provided in your service agreement or required by applicable law.
Term & Termination
These Terms are effective as long as you use the Site or are party to a service agreement with Renacy.
Termination by You
You may terminate your service engagement with Renacy in accordance with the notice requirements set forth in your service agreement. Termination of services does not affect your obligations for fees accrued prior to the termination date.
Termination by Renacy
Renacy may suspend or terminate your access to the Site or Services immediately and without prior notice if:
- You materially breach these Terms or your service agreement and fail to cure such breach within 10 business days of written notice.
- You become insolvent, make a general assignment for the benefit of creditors, or become subject to bankruptcy proceedings.
- Continuing the engagement would expose Renacy or other clients to security risk, legal liability, or regulatory non-compliance.
Effect of Termination
Upon termination, your right to access the Services ceases immediately. Renacy will provide reasonable assistance to facilitate data export during an agreed offboarding period, subject to applicable fees. Sections of these Terms that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification) will continue in effect.
Confidentiality
In the course of our engagement, each party may disclose confidential or proprietary information to the other (“Confidential Information”). Each party agrees to:
- Hold the other party's Confidential Information in strict confidence.
- Use Confidential Information only for the purpose of performing or receiving the Services.
- Disclose Confidential Information only to employees, contractors, or subprocessors who have a need to know and are bound by obligations of confidentiality at least as protective as those in these Terms.
- Promptly notify the other party of any known or suspected unauthorized disclosure of Confidential Information.
Confidential Information does not include information that (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party without restriction; (c) is independently developed by the receiving party without use of the disclosing party's information; or (d) is rightfully received from a third party without restriction.
Renacy's confidentiality obligations with respect to your client data are also governed by our Privacy Policy.
Disclaimers
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
Renacy does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify or discontinue the Site at any time without notice.
With respect to the Services, any warranties, service level commitments, or performance guarantees are set forth exclusively in your written service agreement. Nothing in these Terms creates any warranty not expressly stated in that agreement.
Renacy does not warrant that the Services will prevent all security incidents, data loss, or system failures. Cybersecurity and IT management involve inherent risks that cannot be fully eliminated. Clients are encouraged to maintain their own backup policies and security programs in addition to those provided by Renacy.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RENACY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR THE SERVICES, EVEN IF RENACY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RENACY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO RENACY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Renacy's liability will be limited to the fullest extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Renacy and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Site or Services.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any third-party rights, including intellectual property rights or privacy rights.
- Any content or data you provide to Renacy in connection with the Services.
Renacy reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Renacy's defense of such claim.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days following written notice of a dispute. If the dispute is not resolved during that period, either party may pursue its rights and remedies under applicable law.
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and both parties irrevocably consent to the personal jurisdiction of such courts.
Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief in any court of competent jurisdiction to protect confidential information or intellectual property rights.
Changes to These Terms
Renacy reserves the right to modify these Terms at any time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by sending notice to the primary contact email on file for your account.
Your continued use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Site and, if applicable, provide termination notice per your service agreement.
